      Characteristics of Digital Signature Certificate in India

      Applicability – A Digital Signature Certificate is mandatory for all directors, partners, and authorized signatories who are involved in online filings with government portals such as the Ministry of Corporate Affairs (MCA), Income Tax Department, GST, EPFO, and others.

      Requirements for Digital Signature Certificate

      Members (Shareholders)

      • Minimum: 10 individual producers or 2 producer institutions

      • Eligibility: Only primary producers or producer institutions are eligible to become members

      • Reference: As per Section 581C of the Companies Act, 1956 (as applicable to Producer Companies)

      Directors

      • Minimum: 2 directors

      • Residency Requirement: At least one director must be a resident of India (i.e., has stayed in India for 182+ days in the previous calendar year)

      • DIN: All directors must possess a valid Director Identification Number (DIN) issued by the Ministry of Corporate Affairs (MCA)

      Company Name

      • The name must be unique and not resemble any existing registered company or trademark

      • Format: [Brand/Activity] + [Name] + Producer Company Limited

      • You are required to submit 3–4 name options to the Registrar of Companies (RoC) for approval

      Registered Office Address

      • A temporary address may be provided at the time of incorporation

      • A permanent registered office address must be submitted post-incorporation

      • This address will be used for all official correspondence and to maintain statutory records
